Company, society registration fees increased

Company, society registration fees increased under a new government Gazette that revises charges for registering and administering companies and societies in Sri Lanka. The updated fee structure took effect on July 6, 2026, introducing higher charges for a range of registration and filing services.

The revised fees were introduced through Extraordinary Gazette No. 2496/03, issued by Trade, Commerce, Food Security and Cooperative Development Minister Wasantha Samarasinghe. The Gazette amends the Companies (Fees) Orders and the Societies (Fees) Orders, which were last revised in 2022.

Among the key changes, the company registration fees for private limited companies have been increased to Rs. 5,200 from Rs. 4,600. Businesses seeking to register a public limited company will now pay Rs. 26,400, compared with the previous fee of Rs. 23,000.

The cost of registering an unlimited company has also increased to Rs. 19,800 from Rs. 17,250, while the registration fee for a company limited by guarantee has been set at Rs. 39,600.

Businesses establishing new entities will also face higher administrative costs beyond incorporation. The fee for obtaining approval of a company name has risen to Rs. 2,600 from Rs. 2,300, reflecting the broader revision of company registration fees under the updated regulations.

Annual compliance costs have also increased. Companies filing their annual returns will now pay Rs. 7,900, while the registration of mortgages, charges and debentures will attract a fee of Rs. 9,900.

In addition, the Gazette introduces revised fees covering a number of corporate administrative services, including those relating to company secretaries, auditors, offshore companies and overseas companies establishing places of business in Sri Lanka.

The revised fee schedule is expected to affect both newly incorporated businesses and existing companies that are required to complete statutory filings and regulatory procedures throughout the year.

Alongside changes affecting companies, the Government has also revised fees applicable to registered societies.

The registration fee for a society has been increased to Rs. 3,900 from Rs. 3,450, while the fee for amending a society’s constitution has risen to Rs. 1,900 from Rs. 1,725.

Other administrative charges have also been updated. Obtaining a certified copy of society documents will now cost Rs. 600, filing an annual return has been fixed at Rs. 1,300, and conducting a file search will require payment of Rs. 265.

The revised charges are intended to update fees associated with regulatory and administrative services provided under Sri Lanka’s corporate and society registration framework. Businesses, professional service providers, company secretaries and legal practitioners are expected to adjust to the new fee structure when completing registrations and statutory filings.

The implementation of Extraordinary Gazette No. 2496/03 also provides greater clarity on the costs associated with incorporation and ongoing compliance, enabling businesses to plan administrative expenses more effectively.

With Company, society registration fees increased, organisations planning to establish new business entities or registered societies should review the revised fee schedule before submitting applications. Existing companies are also advised to take note of the updated filing charges to ensure compliance with statutory obligations under the amended regulations.

The revised fees officially came into effect on July 6, 2026, and now apply to all relevant registrations and administrative services covered under the Companies (Fees) Orders and the Societies (Fees) Orders.
