BPPL Holdings PLC announced that its wholly owned subsidiary, Beira Brush Ltd, has entered into a Business Transfer Agreement (BTA) with Ravi Industries Ltd. (RIL) to acquire the company’s customer base, trademark rights and related intellectual property.
The transaction represents a strategic expansion of BPPL’s industrial brush manufacturing business and is expected to enhance operational efficiencies while broadening its market reach.
Under the agreement, Beira Brush Ltd will acquire Ravi Industries’ customer relationships together with the rights to use the “Ravi” trademark and associated intellectual property. Rather than following a conventional acquisition model involving an upfront payment, the transaction has been structured around a performance-based consideration.
The purchase price will be settled through annual payments over a five-year period, with the amount linked to revenue generated from the transferred customer base and trademark rights. BPPL confirmed that the total consideration payable under the agreement will not be less than Rs. 300 million.
The company said this approach aligns the interests of both parties while allowing the value of the acquisition to reflect the commercial performance of the transferred business over time.
The BPPL acquires Ravi Industries customer base transaction is also expected to generate significant operational synergies. By integrating production for Ravi Industries’ customers into Beira Brush Ltd’s existing manufacturing facilities, the company expects to improve production efficiency, optimise capacity utilisation and reduce operating costs.
Management believes the consolidation of manufacturing operations will create economies of scale while strengthening Beira Brush’s ability to serve both existing and newly acquired customers more efficiently.
The acquisition forms part of BPPL’s broader growth strategy aimed at expanding its presence in the industrial brushware sector. The company said the additional customer base and intellectual property will reinforce its competitive position in both domestic and export markets.
According to BPPL, the transaction is expected to position Beira Brush Ltd among the largest manufacturers of industrial brushware in Asia, reflecting the company’s long-term ambition to increase production capacity and strengthen its regional market presence.
Industrial brushware products are widely used across manufacturing, construction, automotive, food processing and other industrial applications, making the sector an important contributor to industrial supply chains. Expanding customer relationships and production capabilities is expected to support future business growth as demand continues to evolve across regional markets.
The acquisition also highlights the growing importance of strategic business transfers as companies seek opportunities to expand market share, improve operational efficiency and leverage established brands without undertaking full corporate acquisitions.
BPPL stated that the transaction received formal approval from its Board of Directors on 10 July, allowing the company to proceed with implementation under the agreed terms of the Business Transfer Agreement.
