Rs. 10 b Sampath Green Bond issue oversubscribed as investor demand exceeds offer

The early closure followed applications exceeding the maximum issue size of Rs. 10 billion, allowing the bank to fully exercise its oversubscription option outlined in the prospectus.

Sampath Bank PLC announced that, as of Friday, it had received applications worth more than Rs. 10 billion for its listed, rated, unsecured, subordinated, redeemable Green Bond issue with a non-viability conversion feature. The overwhelming response reflects strong investor appetite for capital market instruments that support both financial sector growth and environmental sustainability.

The bond offer initially comprised up to 70 million Basel III-compliant Tier 2 Green Bonds, each issued at a par value of Rs. 100, with the objective of raising up to Rs. 7 billion.

However, the prospectus also provided the bank with the flexibility to issue an additional 30 million bonds in the event of an oversubscription. This option enabled Sampath Bank PLC to increase the total issue size to 100 million bonds, raising the maximum amount of Rs. 10 billion after investor demand exceeded the original offering.

The Rs. 10 b Sampath Green Bond issue oversubscribed outcome underscores investor confidence in the bank’s financial strength as well as growing interest in sustainable financing instruments. Green bonds have become increasingly important in global capital markets as they channel funds toward environmentally responsible and sustainable development initiatives while providing investors with diversified investment opportunities.

Following the successful subscription, the bank confirmed that the offer officially closed at 4:30 p.m. on 17 July, in accordance with the provisions set out in the prospectus.

Sampath Bank also stated that the basis of allotment for the Green Bond issue will be announced to the Colombo Stock Exchange (CSE) in due course, allowing successful applicants to be informed of their allocations following the completion of the subscription process.

The issuance strengthens the bank’s regulatory capital position through Basel III-compliant Tier 2 capital while supporting its long-term funding strategy. Such instruments enable financial institutions to enhance capital adequacy, support future lending activities, and maintain resilience under evolving regulatory requirements.

The successful subscription also reflects continued confidence in Sri Lanka’s debt capital market despite challenging global economic conditions. Investor participation in high-quality corporate bond offerings has remained resilient, particularly for issuers with strong financial performance, established market positions, and sound governance practices.

For Sampath Bank PLC, the strong response reinforces its reputation as one of Sri Lanka’s leading banking institutions and demonstrates sustained market confidence in its long-term growth strategy. The proceeds from the Green Bond issue are expected to strengthen the bank’s capital base while supporting future business expansion and sustainable financing initiatives.

The Rs. 10 b Sampath Green Bond issue oversubscribed announcement also highlights the increasing role of sustainable finance within Sri Lanka’s banking sector. As financial institutions continue to diversify funding sources and align with global environmental, social, and governance (ESG) standards, green financing instruments are expected to play a more prominent role in supporting responsible economic development and long-term financial stability.
